The situation

Closing a production plant is not just a matter of logistics, it is a complex regulatory process covering permit termination, site remediation, environmental documentation archiving and,  if the company intends to sell the property, guiding the client through M&A transaction considering historical remediation and correction the damage to environment. The decommissioning of the installation is a complex regulatory process in itself, but this case also involved soil and groundwater contamination requiring remediation.

Our role

We advised across the full regulatory and legal scope of the plant closure, including termination of the integrated permit and preparation of the final report. We prepared, together with technical advisor, the Remediation Action Plan and represented the client before the administrative authorities in remediation proceedings. In parallel, we advised in preparation of the real estate purchase agreement for the property where the site was located.

The result

The decommissioning project is proceeding on schedule. The case is a good example of the synergy between work of environmental lawyers and M&A lawyers for the site with difficult historical environmental situation, when a client is going through an operational transformation of this scale.
